Is An HR Consultant’s Legal Advice Covered By Legal Privilege?

Although HR advisors provide an invaluable service to SMEs, employers need to be aware that any legal advice they provide is not covered by legal privilege.

Any communications protected by legal privilege do not have to be disclosed in court. For employers facing a situation that may result in Employment Tribunal proceedings, legal privilege provides vital protection.

There are two types of legal privilege, namely, legal advice privilege (LAP) and litigation privilege (LP).

  • LAP is applied to confidential communications between a solicitor and their client in connection with the giving and/or receiving of legal advice. Litigation does not have to be contemplated or pending for LAP to apply.
  • For LP to apply, litigation must be contemplated or pending. Unlike LAP which can only apply to communications between a client and solicitor, litigation privilege can apply to communications between a client or the client’s lawyer and a third party.  LP will only apply to communications that have been made for the sole or dominant purpose of adversarial litigation.

The purpose of legal privilege is to allow members of the legal profession to exercise their skills and provide advice without fear of potentially compromising their client’s best interests.

Why does this matter?

In situations where an employee has a grievance or is subject to a disciplinary investigation, you, as an employer, are likely to seek legal advice well before Tribunal proceedings are contemplated. Your questions and the advice given can contain sensitive information which may, if disclosed by the employee’s solicitor, prejudice your side of the case should the matter end up in the Employment Tribunal. If you receive such advice from an HR consultant, although the advice may be excellent, it will not be covered by legal privilege, and nor will any other communications between you both.
